Social Cruise Control — Service Agreement

Done-for-you dealership social media · Effective upon electronic acceptance at checkout

1. Parties

This Service Agreement (the "Agreement") is between Temes Consulting Inc., a Florida corporation that operates the brand Social Cruise Control ("SCC," "we," "us"), located at 20985 Uptown Ave, Unit 409, Boca Raton, FL 33428, and the dealership or business that subscribes (the "Client," "you"). It takes effect when you complete checkout and check the box agreeing to these terms.

2. Services

SCC provides done-for-you social media management for the Client's selected plan (Essentials, Growth, or Full Throttle), which may include: creating posts, graphics, and AI-voiced videos; scheduling and publishing to the Client's connected social accounts; review monitoring; and related features described for the Client's plan.

You approve everything. Nothing is published to your accounts until you approve it in the SCC app. SCC publishes only content you have approved.

3. Fees & Billing

  1. The Client pays the monthly subscription fee for the selected plan, billed in advance via our payment processor (Stripe) to the payment method on file.
  2. Subscriptions renew automatically each month until cancelled.
  3. Plan prices may change with at least 30 days' written notice (e.g., email); continued use after the change is acceptance of the new price.
  4. Multi-location/dealer groups are billed at the full plan price per rooftop (no bundled discount unless separately agreed in writing).

4. Term & Cancellation

This is a month-to-month service. Either party may cancel at any time. Cancellation takes effect at the end of the then-current monthly billing period; the Client remains responsible for the current period, and fees already paid are non-refundable. SCC may suspend or terminate service for non-payment or violation of this Agreement.

5. Client Responsibilities

  1. Connect and maintain access to your social accounts (e.g., Facebook, Instagram) and any review profiles.
  2. Provide accurate business information and timely approvals.
  3. Ensure you own or have the rights to all photos, video, logos, and information you upload, and that they are accurate and lawful (including any pricing, financing, or promotional claims).
  4. Comply with the terms and policies of each social platform.

6. Content & Approvals

You retain ownership of your brand assets and the content you provide. Because you approve every post before it publishes, you are responsible for the accuracy and compliance of approved content (including advertising, financing, and disclosure requirements). SCC may use de-identified, aggregated performance data to improve the service, and may reference that the Client is a customer unless you opt out in writing.

7. No Guarantee of Results

SCC provides content and posting services. We do not guarantee any specific level of reach, engagement, leads, sales, or followers. Social platforms independently control distribution and may change features, limit accounts, or experience outages outside our control; SCC is not responsible for platform actions, downtime, or policy changes.

8. Limitation of Liability

To the fullest extent permitted by law, SCC is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue. SCC's total liability under this Agreement is limited to the total fees the Client paid to SCC in the three (3) months immediately before the event giving rise to the claim.

9. Indemnification

The Client agrees to indemnify and hold SCC harmless from claims, damages, and costs (including reasonable attorneys' fees) arising from the Client's content, the Client's use of the service, or the Client's violation of this Agreement, any law, or any platform's terms.

10. Governing Law & Venue

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The parties agree that the exclusive venue and jurisdiction for any dispute, claim, or court proceeding arising out of or relating to this Agreement shall be the state and federal courts located in Palm Beach County, Florida, and each party consents to personal jurisdiction there.

11. General

  1. This Agreement is the entire agreement between the parties on this subject and supersedes prior discussions.
  2. SCC may update these terms with notice; continued use after the effective date is acceptance.
  3. If any provision is unenforceable, the rest remains in effect.
  4. The Client may not assign this Agreement without SCC's consent; SCC may assign it to a successor or affiliate.
  5. Acceptance is electronic: checking the agreement box at checkout has the same effect as a signature.

By completing checkout and checking "I agree to the Terms," the Client agrees to this Service Agreement.
